Terms of Service

Last updated: 2026-10-30

These terms govern every quotation, order and sale made through this website. By placing an order you accept them.

1. Scope and acceptance

These Terms of Service govern every quotation, order, sale and use of orikit.com (“the Site”) by ToolHaven (“we”, “us”). By browsing the Site, requesting a quote or placing an order you accept these Terms. If you are ordering on behalf of a business you confirm you are authorised to bind that business.

We may amend these Terms from time to time. The version in force when you place your order applies to that order.

2. Trade and wholesale buyers

The Site sells to trade buyers — distributors, retailers, contractors and industrial purchasers. Minimum order quantities (MOQ) apply per product and are shown on each product page. Orders below MOQ may be declined or repriced at our discretion.

Volume price breaks are calculated automatically from your order quantity and displayed on the product page before you order. Prices shown exclude taxes, duties and freight unless a product page or quotation states otherwise in writing.

3. Orders, pricing and payment

  • An order is an offer to buy. It becomes a binding contract only when we take payment (card via Stripe, or PayPal) or, for bank-transfer orders, when we issue a written order confirmation.
  • We may decline or cancel an order before shipment — for example where an item is out of stock, a price was published in error, or a fraud or sanctions check fails. If we do, we refund in full and tell you why.
  • Prices are quoted and charged in the currency shown at checkout. Orders are accounted for in USD; where you pay in another currency the conversion is handled by your payment provider and shown to you before you confirm.
  • Import duties, VAT/GST and customs clearance fees are the buyer's responsibility unless your quotation says delivered-duty-paid in writing.

4. Delivery, title and risk

Lead times shown on product pages are production times and start when payment clears, not from the moment you order. Delivery estimates from carriers are indicative, not guaranteed. Title and risk pass as set out in the Incoterm on your quotation — normally FOB for sea freight and EXW or FCA where agreed in writing. Full detail is on our Shipping Policy page.

5. Inspection on arrival

Check shipments on arrival and note any shortage or visible damage on the carrier's delivery document. Tell us in writing within 7 days of delivery, with photographs where relevant, so we can claim against the carrier. Missing that window makes a carrier claim — and therefore a credit — significantly harder.

6. Warranty

Each product carries the warranty period stated on its product page, measured from delivery. The warranty covers defects in materials and workmanship under normal professional use. It does not cover wear parts, consumables, cosmetic damage, misuse, modification, or use outside the product's rated specification.

Make a claim by emailing sales@toolhaven.example with your order number, photographs and a short description. We will repair, replace or credit the defective item at our option. This warranty is given in addition to — and does not limit — any non-excludable consumer rights that apply to you by law.

7. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings. Our total liability for any order is limited to the amount you actually paid us for that order. We are not liable for failure caused by events outside our reasonable control, including carrier disruption, customs delay, industrial action, epidemic, war or natural disaster.

8. Intellectual property

Product names, photography, copy, drawings, logos and software on the Site are owned by us or our licensors. You may not reproduce or reuse them commercially without written permission. Where we produce goods to your branding under an OEM arrangement, you warrant that you own or are licensed to use the marks and artwork you supply, and you indemnify us against any claim that you are not.

9. Export control and sanctions

You may not resell or re-export our products to any embargoed country, entity or person, or in breach of applicable export-control or sanctions law. We may decline any order that would put us in breach.

10. Governing law and disputes

These Terms and any order under them are governed by the laws stated in the “Governing law” clause of your written quotation or sales contract; where none is stated, they are governed by the laws of the jurisdiction in which ToolHaven is registered. Courts of that jurisdiction have exclusive jurisdiction, except that either party may seek injunctive relief anywhere to protect intellectual property or confidential information.

Before filing a claim, both parties will try to resolve the dispute in good faith by talking to each other for 30 days. Nothing here prevents either party from raising a consumer claim where local law allows it.
